Your continued use of the Service following any changes constitutes acceptance of those changes.
2. Description of Service
PromptElite is a browser-based AI prompt engineering utility designed for United States professionals across multiple industry verticals, including legal, real estate, medical coding, tax planning, SaaS sales, Amazon FBA, grant writing, logistics, and content creation. The Service generates structured, sector-specific text prompts based on user-supplied inputs. PromptElite does not provide legal advice, medical diagnoses, tax filing services, or any other professional consultation.
3. User Responsibilities
You agree to use the Service only for lawful purposes and in compliance with all applicable federal, state, and local laws. You are solely responsible for the accuracy and appropriateness of the information you provide as inputs. You acknowledge that prompts generated by PromptElite are informational tools and should not be used as a substitute for professional advice from qualified attorneys, accountants, physicians, or other licensed professionals.
4. Intellectual Property
All content, design, graphics, code, and functionality of the PromptElite website are the exclusive property of PromptElite US and are protected by United States and international copyright, trademark, and other intellectual property laws. Prompts generated through the Service using your unique inputs are yours to use freely. You may not reproduce, distribute, or create derivative works based on the PromptElite platform, templates, or underlying algorithms without our prior written consent.
5. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. PromptElite does not warrant that the Service will be uninterrupted, error-free, or secure. PromptElite is not a law firm, medical provider, certified public accounting firm, or licensed professional services provider. The prompts generated are tools to assist your workflow and are not professional advice.
6. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PROMPTELITE US, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO ACCESS THE SERVICE DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
7. Indemnification
You agree to indemnify, defend, and hold harmless PromptElite US and its affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
8. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be resolved exclusively in the state or federal courts located in Delaware.
9. Severability
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
